Terms and Conditions
OBJECTIVE

PROJECT SCOPE
We will work with you to create an accurate website layout based on the specifications noted in your quote/proposal, visual industry research, and our creativity.

ON COMPLETION
As we build your website, we will create any visuals necessary to represent your business and industry accurately. There will be a particular set of visual standards that are developed for the result of consistent message communication to your specified audience. By the end of our process, you will have an online website representing your intended organization or purpose.

WEBSITE DESIGN PROCESS
Concept phase – The initial deposit is due, and we will schedule your project into our workload calendar. During this phase, we gather information and create a preliminary sitemap, information layout drafts, and a general website layout plan.
Design phase – The following scheduled fee is due, and we will actively layout the website, build graphic content, add your specified text/copy, build contact forms, and initiate the mobile site layout.
Technical phase – This phase is where we secure the hosting/platform service, website setup, links, forms, domain name purchase/connection, forwarding services, and testing. All this ensures your website is fully ready and functional on launch day.

Website Launch – The final scheduled fee is due, and we “flip the switch” and move the fully designed website to your domain home and make it “live.” After launch, you get to share the great news with your audience and see the support roll in.
WEBSITE BUILDING PLATFORM
PLATFORM
We use a third-party web-based website-building platform/tool called Wix (wix.com). At the onset of the website design project, we will create and maintain a profile for your site if we are in a working partnership to execute your brand visuals. After the project, all usernames and passwords will be turned over to you for use, maintenance, and ownership. Any schedules and fees about your website will be transferred to your maintenance, upkeep, and payments responsibility. However, if you've opted-in for our “Website Maintenance Option,” we will continue the maintenance period on your website with access to all related credentials.
WIX TERMS OF USE
While we use the Wix website building platform, we will adhere to the third-party's terms and conditions listed at the following link: https://www.wix.com/about/terms-of-use. Once the project is complete, the most recent iteration of the website will continue to be subject to the terms and conditions of the Wix platform.
HOSTING WEBSITE NOTES
The Wix platform is excellent for quick website building and launches. It also offers a fast display of updates, a wide range of starter templates, and solid content-managing software. Plus, websites using web-based builders are typically used for brand representation, customer message boards, digital brochures of services, portfolio of work, and product/service sales.
The greatest challenge to web-based website-building platforms/tools is that websites built using them are entirely confined to their servers and services. Thus, your website will be non-transferable to other web services, servers, or developers.
ANNUAL HOSTING/PLATFORM FEES
Wix offers various annual hosting/platform fees for using digital space and platform services. According to your specifications, we’ve already selected the best fee plan for your needs. Thus, the quote/proposal reflects your optimal yearly hosting/platform.
TIMELINE + PAYMENT DETAILS
TIMELINE
The CONCEPT phase will be completed one week after the initial deposit. Our DESIGN phase will be due one week after the Concepting phase is complete. We allow one week for website review by yourself and your team. We then review your edits and adjust, which will roughly take three days to one week. Then, we will initiate the TECHINCAL phase of the project after the website design has been reviewed and approved, and it will last approximately four days. Finally, we implement the TEST phase and initiate a series of tests to ensure the site works properly for three days to one week. We will schedule four to six weeks to build your complete website.
SCHEDULED PAYMENTS (CONCEPT, DESIGN, LAUNCH)
An initial deposit of 34% is required, as set out in this quote, due to the fragile and precarious nature of releasing and showing unique ideas before compensation.
The following 33% is due at the onset of the Design phase to secure any additional resources and assets used to build the website's contents.
The final 33% is due at the launch of the project. The website will be made live and visible at the specified domain name after receiving the final payment. Full rights to the website design are to be transferred after the final payment. Please see the following terms for more details.
PAYMENT REQUIRED TO SECURE PROJECT
We can only secure this project into our schedule upon receiving the deposit. If there is any delay, other tasks may take priority. This is not to pressure you in any way but to inform you of scheduling terms. Once payment is received, we will forward a receipt and gather further information in preparation for the start of the project.
ADDITIONAL COSTS
The Pricing in the quote/proposal only includes the designers and hosting/platform fees. Any other costs, such as art licensing, photography, website apps, and subscriptions, will be billed to you.
CHANGES TO PROJECT SCOPE
If you want to change the scope of work after agreeing to the terms and conditions, send a note describing the updates, and we’ll respond with any impacted availabilities, fees, and deliverable updates because of your request.
PAYMENT METHODS
Preferred methods include Checks, Major Credit Card, PayPal, and Zelle.
PROPERTY
OWNERSHIP and RIGHTS
All preparation materials, sketches, and visuals, including the electronic files used to create the project, remain the property of Visionbase Media, LLC. The final artwork/digital files will become the property of you, the client, mentioned in this proposal ONLY upon final project payment.

We cannot emphasize enough that if the final payment is NOT received as agreed in this quote/proposal, all designs and concepts will remain the property of Visionbase Media, LLC, until payment is received. If there are issues with the final payment, we then reserve the right to reuse or amend any of these ideas for other clients or to be used freely as concepts in our portfolio.
We will immediately seek legal counsel if you attempt to use/modify/alter/replicate, or steal any ideas without making the agreed final payment. Visionbase Media, LLC reserves the right to show any artwork, ideas, or sketches created for this project in a portfolio as examples of client work. This can be during the project and upon completion. If you have any specific ‘secrecy/stealth mode’ requirements, please mention this before agreeing to the quote/proposal.
Final payment ensures that ONLY the agreed branding package becomes the client’s property. Any previous ideas/concepts remain the property of Visionbase Media, LLC, unless a prior agreement has been made.

TRADEMARK and COPYRIGHT
You must seek legal advice if you require a visual design to be trademarked. A copyright is automatically enforceable once a creative work is created. Upon completing this project, Visionbase Media, LLC transfers all copyright ownership to you and your organization.
NAMING
Before starting work, you must ensure the company/product name is legally free. If any legal issue arises with the naming after the project has been completed, no refunds are possible, and neither are we responsible for any problems that arise. Please ensure the name you are using is free and legally safe to use before committing to any design project. Name changes during a project can be exceptionally costly.
CONFIDENTIAL INFORMATION
Your “Confidential Information” includes information we reasonably believe to be confidential. We take confidential matters seriously and would love to continue earning your trust. We take security measures to ensure confidential information is not shared, carelessly mishandled, or copied. We ask that you return the trust if we share source information, industry tools, or undisclosed information about our operations. Each of us will openly communicate with each other when “confidential information” is being shared.
CANCELLATION + DELAYS
TRUST
We aim to ensure that your desired message is communicated to your intended audiences through the art of design. We sincerely request that you trust our professional observations to make suggestions in your best interest.
CANCELLATION DURING PROJECT
If you cancel the project before completion, a refund of the previous payments will NOT be given. If our organization cannot complete the project due to unforeseen circumstances, a portion of the overall budget will be returned. If another designer/organization can use the pending design for completion, a percentage will be refunded based on the work completed.
PROJECT SUSPENSION
We reserve the right to suspend any project if a client interferes with excessive micromanaging, demonstrates a continued lack of trust and inability to proceed after viewing a reasonable amount of unique logo ideas/concepts, and shows reluctance in paying the final payment.
Fair notice will be given with a fair chance to remedy the situation without resorting to project suspension or termination. Any suspension or termination will not result in any refunds.
DELAYS
We will make reasonable efforts to meet the predetermined website design process schedule. We reserve the right to extend the timeline for any deliverables. We will always be upfront and communicate with you if this should have to happen.

Your reasonable efforts to provide needed information, materials, and approvals are also crucial to project development, but we understand that unforeseeable things happen. So, if you are delayed in any way, please let us know, and we will adjust the timeline day-for-day to allow for proper work completion.
If there are any delays beyond the reasonable control of either of us, we will adjust the timeline deliverables day-for-day to allow for proper work completion. We must communicate with each other that delays have happened and that we agree to delay the project day-for-day.

SUPPORT SERVICES
WARRANTY
During the first month following the completion of your project, we will provide up to two hours of support services at no additional cost to you. Support services are reasonable remedies to technical graphic inaccuracies, grammatical errors, or other deficiencies about the agreed-upon quote/proposal. Any additional requests beyond warranty support will be completed at our standard design rate of $50 per hour.

WEBSITE MAINTENANCE OPTION
We offer a "Website Maintenance Option," which includes up to 3 hours of maintenance for $80 per month (billed monthly) for 12 months after the completion of the website. If additional updates exceed the 3-hour threshold, our standard $50 per hour applies. Plus, one month before your annual hosting/platform fee is due, we will invoice you for the current platform amount and pay the Wix platform on your behalf – unless you note otherwise.
After completing the 12 months, we will discuss a “Transfer of Responsibilities” or renew an annual “Website Maintenance Option.” If you opt-in for this service, It will be reflected in your project invoice.
TRANSFER OF RESPONSIBILITIES
Since the Wix website builder is such a user-friendly platform, you may choose to take responsibility for internally maintaining updates to your website. If you choose to do so after the project, all usernames and passwords will be turned over to you for use, maintenance, and ownership. Any schedules and fees for your website will be transferred to you for maintenance, upkeep, and payments.
STANDARD MAINTENANCE
If you’ve assumed the “Transfer of Responsibilities” for your website and you’d like for us to make any updates, our standard $50 per hour applies and is subject to our earliest availability.

If you are unhappy with the project's progress or feel we need to find an appropriate angle, please discuss this with us. We encourage conversations via email, voice call, video conference, or text. We will work hard to address any new or existing concerns.
We must all be completely clear about the objectives and aims before commencing. Please be open with your thoughts, doubts, and concerns.
APPROVAL OF QUOTE/PROPOSAL
By paying your initial deposit, you accept the design products and services that Visionbase Media, LLC has promised to deliver. You also accept all terms and conditions on this web page to govern your actions and expectations during your visual design project.
WHAT HAPPENS NEXT
Once you have made the initial deposit via our payment system, the project will be scheduled into our project workload and given priority. We look forward to working with you and appreciate the trust you’ve displayed in us so far.
